Agreement to these terms

These Terms of Service govern your use of thinkwellstrategies.com and the consulting, training, and workshop services provided by Thinkwell Strategies LLC ("Thinkwell Strategies", "we", "us"). By using the site, booking a consultation, or engaging our services, you agree to these terms. If you do not agree, please do not use the site.

Our services

We provide founder and startup consulting, AI education and training, and digital transformation workshops. The scope, deliverables, timing, and fees of any engagement are set out in a separate written proposal or statement of work, which takes precedence over these terms where the two conflict.

Discovery calls and scheduling

Discovery calls are offered at no charge and carry no obligation on either side. Please give as much notice as you can if you need to cancel or reschedule so the time can be offered to someone else. We may reschedule a call where circumstances require it.

Text message program terms

By providing your mobile number and agreeing to be contacted by text, you consent to receive text messages from Thinkwell Strategies LLC relating to your booking and the services you asked about, including appointment reminders, confirmations, and service updates. Consent is not a condition of purchase.

• Message and data rates may apply.
• Reply STOP to any message to cancel. You will receive one confirmation and no further messages.
• Reply HELP for assistance, or email [email protected].
• Carriers are not liable for delayed or undelivered messages.
• Supported carriers may change without notice, and delivery is not guaranteed on every network or handset.

Fees and payment

Fees for paid engagements are set out in the applicable proposal or statement of work. Invoices are payable on the terms stated in that document. We may pause work on overdue accounts.

Your responsibilities

Our work depends on the information, access, and participation you provide. You agree to give us accurate information, to hold the rights needed for any material you share with us, and to comply with the laws that apply to your organisation.

Acceptable use

You agree not to misuse the site, including attempting to gain unauthorised access, interfering with its operation, scraping it at scale, or using it to send unlawful or unsolicited communications.

Intellectual property

The site and its content, along with our frameworks, templates, and training materials, remain our property. Deliverables prepared for you under a paid engagement are licensed or assigned to you as set out in that engagement's written terms. You may not resell or redistribute our training materials without written permission.

Confidentiality

Each party will keep the other's non-public information confidential and use it only for the purposes of the engagement.

No professional advice guarantee

Our services are advisory. We do not provide legal, tax, accounting, or investment advice, and we do not guarantee any particular business, financial, or operational outcome. Decisions you make remain yours.

Disclaimers

The site and its content are provided as is, without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the site will be uninterrupted or error free.

Limitation of liability

To the fullest extent permitted by law, Thinkwell Strategies LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data. Our total liability arising out of or relating to an engagement will not exceed the fees you paid us for that engagement.

Termination

Either party may end an engagement in accordance with its written terms. We may suspend or end your access to the site if you breach these terms.

Governing law

These terms are governed by the laws of the State of Michigan, without regard to its conflict of law rules. The courts located in Genesee County, Michigan have exclusive jurisdiction over any dispute arising from them.

Changes to these terms

We may update these terms from time to time. The date at the top shows when they were last changed, and continued use of the site after a change means you accept the revised terms.
